In a remarkable display of coordination, tenacity, and teamwork, the attorneys from Weiss Serota Helfman Pastoriza Cole & Boniske recently closed on a $75 million sale that included more than 90% of the units in the Seashore Club South Condominium.

After years of litigation and negotiations, the deal was finally completed by Joshua Krut, Chair of the Community Association, Club & Resort Practise Group, Joseph Hernandez, Chair of the Real Estate Practise Group, and Michael Popok, Partner-in-Charge of the Miami-Dade Office and Former Chair of the Litigation Division of Weiss Serota Helfman.

Helfman Weiss Serota Many condominium communities, notably the Seashore Club South Condo Association in Sunny Isles, seek the assistance of independent general counsel. The Association contacted the company and requested to be purchased. When a potential buyer materialized, a right of first refusal was exercised, beginning the initial legal conflict.

It was claimed that the unit was overpriced and that the offer wasn’t sincere. The condominium was being purchased for potential future development once the lawsuit was finally settled. The “Plan of Termination”—according to which the association must sell every one of its units—was then disputed. Several rebellious owners either refused to sell or wanted a price that was significantly more than what was being asked.

What actually happened was a plan to acquire every condo separately, which gained popularity very quickly. The company continued to provide guidance to the board throughout the acquisition, advising them on corporate governance and internal issues in addition to presiding over regular meetings of the 170 unit owners.

The handling of ongoing condo issues, the resolution of litigation, and the administration of the real estate transaction components led to one of the largest transactions in the area, with a result of over $75 million. The owners got tremendous windfalls of more than $478,000 for each unit they owned, many of whom were older citizens, immigrants to the country, and of modest means.
